1. Acceptance of Terms By engaging Jet Stream Media (“JSM”) for any video production, photography, editing, or related services, you (“Client”) agree to be bound by the following Terms and Conditions.

2. Scope of Work JSM will provide digital video production, photography, editing, and related creative services as detailed in agreed-upon project descriptions, proposals, invoices, or contracts. All project specifics, deliverables, timelines, and payments will be clearly defined and communicated via email or written agreements.

3. Payment and Subscriptions 3.1 Clients agree to pay JSM according to the terms outlined in invoices or agreed-upon contracts.
3.2 For subscription-based services, payment of the initial invoice activates an automatic recurring payment through our secure third-party payment processor (Stripe). Clients implicitly authorize these recurring payments by completing the initial subscription invoice.

4. Delivery of Services 4.1 JSM will deliver completed digital content (videos, photos, reels, etc.) via a secure online platform (e.g., Google Drive or Dropbox).
4.2 Acceptance of delivered content is confirmed by the Client’s downloading, usage, posting, or public sharing of the content.

5. Ownership and Usage Rights 5.1 Upon full payment, Clients receive a license to use the content as defined by the original agreement. JSM retains rights to showcase created content in portfolios and promotional materials unless explicitly agreed otherwise in writing. 5.2 Raw footage remains the property of JSM unless explicitly transferred by written agreement.

6. Refund and Cancellation Policy 6.1 Due to the custom nature and immediate digital delivery of our services, refunds are not provided once services have been rendered or content delivered.
6.2 Cancellation requests must be submitted in writing and will be honored for future subscription payments only. Cancellation does not entitle Clients to refunds for previously completed or ongoing work.

7. Communication and Dispute Resolution 7.1 Clients must promptly communicate any concerns regarding delivered content, invoices, or ongoing work within 15 days of content delivery. Failure to communicate within this period constitutes acceptance of content and related invoices. 7.2 In the event of disputes or chargebacks, the client acknowledges that continued usage and posting of delivered content constitute implicit acceptance of services and charges.

8. Limitations of Liability JSM is not liable for incidental or consequential damages arising from delays, technical failures, or third-party platform issues. Liability is limited to the total amount paid by the Client for the project in question.

9. Intellectual Property and Privacy Clients warrant they own or have legal rights to all material supplied to JSM. JSM is not liable for copyright infringement claims related to materials supplied by the Client.

10. Termination JSM reserves the right to terminate any agreement immediately if invoices are unpaid for more than 30 days, if communication breaks down, or if the Client breaches any part of this agreement.

11. Governing Law These Terms and Conditions are governed by and construed in accordance with the laws of Manitoba, Canada. Any disputes will be resolved exclusively in courts located in Manitoba.

12. Amendments JSM reserves the right to update or change these Terms and Conditions at any time. Continued use of JSM services following any updates signifies acceptance of these changes.

By engaging Jet Stream Media’s services, the Client agrees to adhere fully to these Terms and Conditions.

13. Subscription-Based Payments Clarification
13.1 When initiating a subscription-based payment, clients explicitly consent to automatic recurring monthly billing clearly stated during checkout and on the initial invoice.
13.2 Responsibility to cancel any subscription lies entirely with the client. Failure to cancel subscriptions prior to billing dates does not entitle the client to refunds or chargebacks.

14. Acceptance by Usage
14.1 Use or public posting of content produced and delivered by JSM constitutes explicit acceptance of the services and an acknowledgment that all services meet contractual obligations.
14.2 No refunds, credits, or chargebacks will be granted if the client has downloaded, posted, or otherwise used the delivered digital content publicly.

15. Late or Retroactive Disputes
15.1 Clients must submit any billing or service disputes within 15 days of receipt of invoice. Failure to timely dispute indicates acceptance of charges and services delivered.
15.2 Retroactive disputes (disputes raised more than 30 days after invoice issuance or service delivery) are explicitly prohibited and considered invalid under these terms.

16. Invoice Delivery and Client Responsibility
16.1 JSM invoices clients via email and our secure third-party payment processor (Stripe). It is solely the client’s responsibility to review invoices upon receipt and communicate any discrepancies promptly.
16.2 Failure to review or acknowledge invoices does not constitute grounds for dispute or chargeback.

17. Client’s Obligation for Communication
17.1 Clients are obligated to clearly and promptly communicate in writing any cancellations, modifications, or terminations of ongoing services.
17.2 Continued requests or acceptance of work after the conclusion of initial agreements implies renewal or extension of services and acceptance of additional charges.

18. Intellectual Property Retention
18.1 JSM retains ownership and intellectual property rights of all raw, unedited media unless explicitly agreed otherwise in writing.
18.2 JSM reserves the right to reuse non-proprietary clips, footage, or photography captured during client sessions for marketing or promotional purposes unless explicitly restricted in writing.

19. Recovery of Legal Expenses
19.1 Should any dispute result in legal action, the client agrees to compensate JSM for all reasonable attorney’s fees, court costs, and related expenses incurred by JSM in defending its rights and property.

20. No Waiver
20.1 Failure by JSM to enforce any provision of these Terms and Conditions does not constitute a waiver of JSM’s rights under said provision or any other.
